Welcome to Rapid Inspection AI (the "Platform"), a product developed and operated by DecisionFlowAI BV ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our AI-powered infrastructure inspection platform, website, and services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.
Rapid Inspection AI is an enterprise-grade platform that automatically transforms field captured imagery into comprehensive inspection reports for infrastructure safety assessment, using AI technology to detect defects, assess severity, and provide maintenance recommendations for bridges, buildings, and utilities without requiring AI expertise from users.
To use certain features of our Services, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding the password and access credentials to your account. You agree not to disclose your password to any third party and take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions.
You retain all rights to the visual data, images, and other content you upload to our Services ("User Content"). By uploading User Content, you grant DecisionFlowAI BV a non-exclusive, worldwide, royalty-free license to use, copy, process, adapt, and analyze your User Content for the purpose of providing and improving our Services.
The Services, including all software, algorithms, visual interfaces, graphics, design, and other elements, are owned by DecisionFlowAI BV and are protected by copyright, trademark, and other intellectual property laws.
You agree not to:
a) Use the Services for any illegal purpose or in violation of any local, state, national, or international law;
b) Violate or encourage others to violate the rights of third parties, including intellectual property rights;
c) Upload or transmit viruses, malware, or other types of malicious software;
d) Attempt to gain unauthorized access to the Services or other users' accounts;
e) Interfere with or disrupt the integrity or performance of the Services;
f) Use the Services to conduct competitive analysis or reverse engineering.
We offer various subscription plans for our Services. Details of these plans, including pricing, features, and limitations, are available through direct communication.
You agree to pay all fees associated with your subscription plan. All payments are non-refundable except as expressly provided in these Terms or as required by applicable law.
We may change subscription fees at any time, but will provide you with advance notice before changes apply. Continued use of the Services after such changes take effect constitutes acceptance of the new fees.
Our collection and use of personal information in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We implement reasonable security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
DECISIONFLOWAI BV DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
THE INSPECTION REPORTS AND ANALYSES PROVIDED BY OUR AI TECHNOLOGY ARE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE THE SOLE BASIS FOR SAFETY-CRITICAL DECISIONS. WHILE OUR TECHNOLOGY STRIVES FOR ACCURACY, IT CANNOT REPLACE PROFESSIONAL ENGINEERING JUDGMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DECISIONFLOWAI BV, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICES.
IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO DECISIONFLOWAI BV IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).
You agree to defend, indemnify, and hold harmless DecisionFlowAI BV, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
These Terms shall remain in full force and effect while you use the Services or maintain an account.
You may terminate your account at any time by contacting us.
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach the Terms.
Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
DecisionFlowAI BV reserves the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice.
We may modify these Terms from time to time. If we make material changes to these Terms, we will notify you by email or through the Services. Your continued use of the Services after such notification constitutes your acceptance of the new Terms.
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.
Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Best, the Netherlands, using the English language in accordance with the Arbitration Rules and Procedures of Netherlands Arbitration Institute (NAI) then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.
These Terms constitute the entire agreement between you and DecisionFlowAI BV regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.
No failure or delay by DecisionFlowAI BV in exercising any right under these Terms shall constitute a waiver of that right.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
You may not assign any of your rights or obligations under these Terms without DecisionFlowAI BV's prior written consent. DecisionFlowAI BV may assign its rights and obligations under these Terms without your consent.
